LEGAL EXPECTATIONS AND SALES RULES FOR SALES
CONTRACTORS
1: Overview of competition
The Nextus Digital Solutions, LLC (“NDS”) Independent Sales Contractor Competition is designed to reward Independent Sales Contractors individually and as a team for exceptional performance in sales over the designated competition period(s).
2: Eligability
Participants must be registered NDS independent sales contractors and have a fully executed and active NDS Independent Contractor Agreement (“Agreement”) as of the applicable Competition start date.
Any Participant whose NDS Independent Contractor Agreement is terminated or is subject to a notice of termination pursuant to the terms of the Agreement during any quarterly or annual Competition period will be immediately withdrawn from the Competition and is no longer eligible to compete for or receive any Individual or Team Competition prizes as of the termination date or notice of termination date, whichever is earlier.
Participants must be at least 18 years old and legally eligible to work in the United States.
3: Competition Duration
The Competition will be ongoing until terminated by NDS pursuant to these Rules. Competitions based upon quarterly performance will run from the first day of each applicable calendar quarter (i.e., Jan 1, April 1, July 1, and October 1) until the last day of the applicable calendar quarter (i.e., March 31, June 30, September 30, and December 31). Competitions based upon annual performance will run from January 1 to December 31 of the applicable calendar year. All qualifying sales activities and sales revenue must occur within the applicable quarterly or annual period.
4: Performance metrics
Competition performance will be based on the specific metrics set forth in the attached Individual and Team Challenges regarding sales volume, client outreach, client meetings, number of new clients acquired, etc. See attached details and requirements for each Individual and Team Challenge.
All activity(ies) required to be completed in connection with any Individual or Team Challenge must be timely and properly recorded in the NDS sales portal in accordance with NDS policies and procedures regarding reporting of sales activities and must be complete and accurate by the applicable quarterly and/or annual competition deadlines set forth above.
In the event the sales performance of any Independent Sales Contractor satisfies the requirements for more than one Individual Challenge, the highest applicable Challenge reached in connection with such sales activities or sales revenue will be used to determine the applicable prize. In no event shall an Independent Sales Contractor be entitled to collect more than one individual prize for multiple Challenges based on the same sales activities or sales revenue.
In the event a project is cancelled for any reason prior to completion, the contracted NDS sales revenue will not be used for Competition purposes, and only the fees actually paid by the client and received by NDS in connection with the project will be used to calculate sales revenue for purposes of any Challenge.
With regard to any Individual Challenge or Team Challenge that references the terms “prospective new client,” “new client meeting” or “new client meetings,” former or current NDS clients and/or new projects with former or current NDS clients do not qualify for the applicable Challenge.
